TERMS OF SERVICE

Effective Date: March 1, 2026

These Terms of Service (“Terms”) are entered into by and between you and NTWRK BLACK LLC, a California limited liability company doing business as NTWRK BLACK (“NTWRK BLACK,” “Company,” “we,” “us,” or “our”).

By accessing or using ntwrkblack.com or by participating in any services, communications, directories, applications, virtual events, messaging groups (including but not limited to WhatsApp or similar platforms), video conferences (including but not limited to Zoom or similar platforms), community forums, membership features, introductions, or any other offerings facilitated, organized, or made available by NTWRK BLACK (collectively, the “Platform”), you agree to be bound by these Terms.

Your access to or use of the Platform constitutes your agreement to these Terms, whether you are a registered member or simply participating in NTWRK BLACK-organized activities.

If you do not agree to these Terms, you must not access or use the Platform.

Nature of the Platform

NTWRK BLACK operates a private membership-based networking platform.

The Platform provides tools that allow members to communicate and request introductions.

NTWRK BLACK:

  • is not a broker, dealer, placement agent, funding portal, investment adviser, intermediary, agent, fiduciary, or representative

  • does not negotiate, structure, arrange, facilitate, or execute transactions

  • does not solicit investments or recommend securities

  • does not receive transaction-based compensation

  • is not a party to agreements entered into between members

All communications and transactions occur solely between members at their own discretion and risk.

Members act independently and are not agents, representatives, partners, or employees of NTWRK BLACK.

No partnership, agency, employment, joint venture, or fiduciary relationship is created.

Eligibility and Membership

You must be at least 18 years old.

Membership is subject to application and approval at NTWRK BLACK’s sole and absolute discretion.

Membership is a revocable privilege, not a right.

NTWRK BLACK may suspend, restrict, or terminate access to the Platform at any time for lawful reasons.

No Verification; No Endorsement; No Guarantee of Results

NTWRK BLACK does not:

  • conduct background checks

  • perform financial audits

  • verify credentials

  • confirm regulatory compliance

  • validate identity

  • evaluate business legitimacy

NTWRK BLACK has no obligation to investigate, monitor, screen, verify, or evaluate members, their representations, their businesses, or any opportunities discussed through the Platform.

Approval of membership or access does not constitute endorsement or verification.

NTWRK BLACK makes no representations regarding:

  • accuracy of member information

  • success of introductions

  • funding outcomes

  • partnerships

  • member responsiveness

  • business growth

  • any specific result

Membership provides access only.

No guarantee of introductions, meetings, capital, partnerships, revenue, or outcomes of any kind is made.

Members are solely responsible for conducting their own independent due diligence.

Membership Fees; No Refunds

Membership fees provide access to the Platform only.

All fees are non-refundable.

Membership fees are not prorated for partial usage periods.

NTWRK BLACK has no obligation to provide refunds, credits, partial reimbursements, or prorated adjustments for any reason, including but not limited to:

  • failure to use the Platform

  • dissatisfaction with the Platform

  • lack of introductions

  • lack of business outcomes

  • suspension or termination for violation of these Terms

Any exception must be:

  • in writing

  • expressly labeled as a refund authorization

  • issued by an authorized officer of NTWRK BLACK LLC

No employee, contractor, partner, or representative has authority to promise or authorize refunds.

You agree not to initiate chargebacks or payment disputes except in cases of proven billing error.

If a chargeback is initiated in violation of these Terms, NTWRK BLACK reserves the right to pursue recovery of the disputed amount and associated administrative or legal costs.

Virtual Events and Discussions

NTWRK BLACK may host virtual meetings, panels, roundtables, presentations, messaging groups, or discussions.

Events are provided solely for informational networking purposes.

NTWRK BLACK:

  • does not solicit investments

  • does not recommend securities

  • does not structure funding transactions

  • does not negotiate transaction terms

Participation does not constitute endorsement.

Members are solely responsible for compliance with applicable laws.

Member Communications and Interactions

The Platform enables member-to-member communication.

NTWRK BLACK does not control, supervise, monitor, evaluate, or guarantee communications between members.

NTWRK BLACK is not responsible for communications, agreements, representations, disputes, or conduct occurring:

  • on the Platform

  • in messaging groups such as WhatsApp

  • in video conferences such as Zoom

  • through email

  • through telephone

  • through in-person meetings

  • through any other communication medium

This applies even if members were introduced through the Platform.

All communications and transactions occur solely at members’ discretion and risk.

NTWRK BLACK has no obligation to investigate, screen, monitor, or police member communications or activities.

NTWRK BLACK shall not be deemed to have assumed any duty of care, supervision, monitoring, or control with respect to member communications.

Intellectual Property

All Platform content, materials, and branding are owned by NTWRK BLACK.

You may not scrape, copy, export, sell, or redistribute member data.

You grant NTWRK BLACK a non-exclusive license to display content you submit within the Platform.

Data Security Disclaimer

NTWRK BLACK uses commercially reasonable safeguards.

However, no system is completely secure.

NTWRK BLACK shall not be liable for unauthorized access, cyberattacks, data breaches, data loss, or failures of third-party infrastructure.

You acknowledge and accept these risks.

Platform Availability

NTWRK BLACK does not guarantee uninterrupted or error-free operation of the Platform.

The Platform may be modified, suspended, or unavailable at any time due to maintenance, technical issues, third-party failures, or circumstances beyond NTWRK BLACK’s control.

Disclaimer of Warranties

The Platform and all services provided by NTWRK BLACK are provided on an “as is” and “as available” basis, without warranties of any kind.

To the fullest extent permitted by law, NTWRK BLACK disclaims all warranties, including but not limited to:

  • merchantability

  • fitness for a particular purpose

  • non-infringement

  • uninterrupted availability

Assumption of Risk and Release

You voluntarily assume all risks arising from networking interactions, business decisions, investment discussions, in-person meetings, emotional consequences, and reputational outcomes.

To the fullest extent permitted by law, you release NTWRK BLACK from claims arising from member interactions or transactions.

No Reliance; Entire Agreement; Authority Limitation

You acknowledge that:

  • you have not relied on any representation not expressly contained in these Terms

  • these Terms constitute the complete and exclusive agreement between you and NTWRK BLACK

  • these Terms supersede all prior communications or agreements relating to the Platform

No oral statements, emails, marketing materials, Zoom discussions, or informal communications modify these Terms.

Only an authorized officer of NTWRK BLACK LLC may modify these Terms in writing.

Any inconsistent statement by employees or representatives is void.

Your decision to use the Platform is based solely on your independent evaluation.

Limitation of Liability

To the fullest extent permitted by law, NTWRK BLACK shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost opportunities, reputational harm, or emotional distress.

Total aggregate liability shall not exceed the membership fees paid in the twelve months preceding the claim.

One-Year Limitation Period

Any claim must be brought within one year after it arises.

Otherwise, it is permanently barred.

Indemnification

You agree to indemnify and hold harmless NTWRK BLACK and its officers, directors, employees, contractors, and affiliates from claims arising from:

  • your use of the Platform

  • your conduct

  • your interactions

  • your breach of these Terms

This obligation survives termination.

Dispute Resolution and Arbitration

Before initiating arbitration, written notice must be provided and the parties must attempt resolution for thirty days.

If unresolved, disputes shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association.

Arbitration shall take place in Orange County, California unless applicable law requires otherwise.

California law governs.

You waive:

  • jury trial

  • class actions

  • collective proceedings

Small claims court remains available for qualifying claims.

NTWRK BLACK may seek injunctive relief in court for intellectual property violations.

This section survives termination.

Force Majeure

NTWRK BLACK shall not be liable for delays or failures caused by events beyond its reasonable control, including internet outages, cyber incidents, natural disasters, government actions, labor disputes, or failures of third-party infrastructure.

Assignment

NTWRK BLACK may assign these Terms without restriction.

You may not assign your rights without written consent.

Platform Modifications

NTWRK BLACK may modify, suspend, or discontinue any feature without liability.

Electronic Communications

You consent to receive communications electronically.

Compliance With Law

You represent that you are not located in a sanctioned jurisdiction.

NTWRK BLACK may disclose information if required by law.

Severability

If any provision is found unenforceable, it shall be modified only to the extent necessary to make it enforceable.

All remaining provisions remain in full force and effect.

Governing Law

These Terms are governed by the laws of the State of California.
